How do I get my Certificate of Formation?
A Certificate of Formation is the state document proving an LLC was filed with the Secretary of State. Which one you use depends on your entity type. In DashPanel and at https://compliance.otoco.io, the document is labeled Certificate of Formation.
OtoCo Instant / protected series
Your series has no individual state-issued Certificate of Formation — Instant is a protected series under the Master without a separate state filing.
Download the Master Certificate of Formation (UI label: Certificate of Formation) from:
- Files & Templates tab in your DashPanel
- https://compliance.otoco.io for Delaware and Wyoming Instant / protected series
For Mercury, that Master Certificate of Formation is the Certificate of Formation they need. See Mercury Bank Documents.
Standalone LLC
The state issues your Certificate of Formation after filing. It appears in Files & Templates when ready — typically a few business days after formation.
BYOE
Upload your existing Certificate of Formation at setup. It stays in your entity bucket for banking and compliance.
LLCs use a Certificate of Formation (Articles of Organization) — not articles of incorporation. For Instant, when a bank asks for articles, provide the Master Certificate of Formation. See Articles incorporation vs organization.
