How do I get my Certificate of Formation?
The Certificate of Formation is the state document proving your LLC legally exists. Where you get it depends on your entity type.
Series LLC
OtoCo generates a Series-specific Certificate of Formation from your formation details. Download it from:
- Files & Templates tab in your DashPanel
- https://compliance.otoco.io for Delaware and Wyoming Series LLCs
Available shortly after formation — no waiting for a separate state filing.
Standalone LLC
The state issues the Certificate of Formation after filing. It appears in Files & Templates when ready — typically a few business days after formation.
BYOE
Upload your existing Certificate of Formation at setup. It stays in your entity bucket for banking and compliance.
Not articles of incorporation
LLCs have a Certificate of Formation (Articles of Organization) — not articles of incorporation. See Articles incorporation vs organization.
