Series vs Master documents — which do I need?

Series LLCs exist under an OtoCo Master LLC (OtoCo DE LLC or OtoCo WY LLC). Banks and counterparties sometimes ask which documents they need — yours or the Master's.

What your Series has

  • Series Certificate of Formation — specific to your Series
  • Series Operating Agreement — executed at formation with your wallet as first Member
  • EIN letter — issued to your Series legal name (when ordered)

What the Master has

  • Master LLC Certificate of Formation and Operating Agreement — governing the umbrella entity
  • Most banks and KYB processes do not need Master documents for a Series banking relationship

When banks ask for Master docs

Some strict due-diligence processes (exchange listings, large wire transfers) may ask how your Series relates to the Master. Provide:

  1. Your Series Certificate of Formation
  2. Your Series Operating Agreement (shows separateness under Section 18-215)
  3. A brief note: "[Your LLC] is a protected Series of OtoCo DE LLC under the Delaware Series LLC Act."
Legal separateness

Each Series is legally separate from the Master and from every other Series. Debts of one Series cannot reach another Series's assets.
