How do I get a Certificate of Good Standing?
A Certificate of Good Standing (also called a Certificate of Status or Certificate of Existence) confirms your LLC is current on state filings and fees. Banks, investors, and counterparties sometimes request one during due diligence.
Series LLCs under the Master
For Series LLCs, annual reports and state fees are handled by the OtoCo Master LLC. Your Series benefits from the Master's good standing. For strict KYB, some counterparties accept your Certificate of Formation and Operating Agreement instead.
How to request one
Certificates of Good Standing are issued by the state, not generated inside OtoCo:
- Delaware — order from the Delaware Division of Corporations (icis.corp.delaware.gov)
- Wyoming — order from the Wyoming Secretary of State (sos.wyo.gov)
You will need your LLC's legal name and may pay a small state fee (typically $10–$50).
Before you request
Make sure your OtoCo annual renewal is current. If your entity has lapsed, bring it back into good standing first via the renewal flow in your DashPanel.
Paying your OtoCo renewal keeps your registered agent and state filings current. The Certificate of Good Standing is a separate document you order from the state when a counterparty requires it.
