What is a registered agent and why does OtoCo use one?
A registered agent is a person or company designated to receive legal notices, tax documents, and official state mail on behalf of your LLC. Every U.S. LLC must maintain a registered agent in its state of formation.
What a registered agent does
- Receives service of process (lawsuits, legal summons)
- Receives state notices (annual report reminders, franchise tax letters)
- Receives IRS correspondence addressed to the entity
- Maintains a physical address in the state (not a P.O. box)
OtoCo as your registered agent
Registered agent service is included in your OtoCo annual fee for Series LLCs ($99/yr) and Standalone LLCs ($299/yr).

When the IRS issues your EIN, it is sent to OtoCo as registered agent. We forward it to your DashPanel and email.
The registered agent address is for legal and state mail. Banks usually want a separate business address — use a Virtual Mailing Address ($249/yr) or your own U.S. address.
BYOE — changing registered agent
When you bring your existing LLC, OtoCo files a Change of Registered Agent with the state. Your prior registered agent is replaced on the state record.
Cancelling
If you stop renewing with OtoCo, you must appoint another registered agent before your state renewal date to stay in good standing.
