Bring Your Own Entity (BYOE) lets you register your existing Delaware or Wyoming LLC with OtoCo for a one-time $149 setup fee β that's 50% off the first year of registered agent service β and unlock the full OtoCo stack (registered agent, EIN, virtual mailing address, dashboard, AI assistant).

After year one, your BYOE entity converts to a regular Standalone LLC subscription at the standard $299/yr for the registered agent service. EIN is one-time; VMA renews at $249/yr if you keep it.
What you'll need
- Your existing LLC's Certificate of Formation (state-issued PDF)
- The LLC's legal name, state, and EIN (if you already have one)
- A wallet to connect to OtoCo (or email login via Privy) β this wallet will be linked to the BYOE entity on OtoCo
- A card or crypto for the $149 one-time fee
Step 1 β Open the LLC formation flow
Go to https://otoco.io/llc (the "Bring it over to OtoCo" link on the homepage links here directly).

Step 2 β Scroll to Additional Formation & Services
In the Additional Formation & Services section, find the Bring Your Own Entity option marked NEW and toggle it on.

Step 3 β Connect your wallet
Click Connect to link your wallet to the BYOE entity.
Step 4 β Provide your existing entity details
OtoCo collects the minimum needed to add your existing LLC into the system:
- Legal entity name as on the Certificate of Formation
- State (Delaware or Wyoming)
- State filing date / Certificate of Formation upload
- Existing EIN (optional β if you don't have one, BYOE will get you one)
- Existing registered agent β OtoCo will replace this with the OtoCo registered agent on your next renewal
Step 5 β Pay the $149 setup fee
Pay with card or crypto. This is a one-time charge.
Step 6 β OtoCo activates your BYOE entity
What happens behind the scenes:
- OtoCo files the Change of Registered Agent with the state to become your registered agent.
- OtoCo orders or replaces your EIN at no additional charge.
- OtoCo activates a Virtual Mailing Address for your entity (free for year one).
- Your entity appears in your DashPanel like a native OtoCo entity β full plugin support, Genco AI, finance views, document storage.
You receive a single consolidated confirmation email when all add-ons are attached to your new entity, not separate receipts for each one.
Step 7 β Use your entity through OtoCo
Once active, your BYOE entity behaves exactly like a native OtoCo Standalone LLC:
- Switch to it in the entity dropdown at https://otoco.io/account
- Install plugins from the Plugins tab
- Ask Genco to apply for Mercury banking ($299 once)
- Upload company documents to the entity bucket
- File taxes from the Tax Center if applicable
After year one
Your BYOE entity rolls into the standard Standalone LLC pricing:
- Registered Agent renewal: $299/yr (the BYOE 50% discount was for year one only)
- Virtual Mailing Address: $249/yr if you keep it
- EIN is one-time β nothing renews
OtoCo will email you 30 and 7 days before renewal so you can cancel if you no longer want OtoCo as your registered agent.
Frequently asked questions
Will my LLC still be the same entity on the state registry?
Yes. BYOE doesn't dissolve or re-form your entity. OtoCo files a Change of Registered Agent so we can serve you mail and forward state notices, but the LLC itself, its EIN, and its filing date are unchanged.
Do I lose access to my existing operating agreement?
No. Your existing OA continues to govern your LLC unless you choose to adopt OtoCo's Standalone LLC template. OtoCo doesn't override the agreement you already have.
Can I bring a Standalone LLC formed outside Delaware/Wyoming?
Today BYOE supports Delaware and Wyoming entities only. If you have an LLC in another state, contact the OtoCo team β case-by-case onboarding may be possible.
Can I cancel after one year?
Yes. Cancel the registered agent subscription from the DashPanel (or ask Genco). You'll need to appoint another registered agent before the next state renewal date.
