How to Form a Delaware LLC
Form a Delaware Series LLC for your wallet in roughly 6 seconds. This guide walks you through every screen of the OtoCo flow with screenshots from the live site.

When to choose Delaware
A Delaware LLC is OtoCo's most versatile entity — it works equally well for trading and e-commerce as for holdings, RWA vaults, and investment pools. It is the go-to workhorse for most businesses, whether you operate inside or outside the U.S.
What you'll need
- An EVM wallet (MetaMask, WalletConnect, Coinbase Wallet, Safe, etc.) — or sign in by email via Privy.
- A small amount of ETH (or the native gas token of your chosen network) to cover transaction gas.
- A credit card or crypto for the $99 annual fee.
Step 1 — Open the formation flow
Go to https://otoco.io/spinup or click Create your company / Spin up new entity anywhere on otoco.io.
You'll land on the jurisdiction selector. Click Delaware.
Step 2 — Connect your wallet
Click Connect in the top right and pick your wallet provider. OtoCo also supports email login via Privy if you'd rather not connect a wallet first.
Step 3 — Confirm Delaware and pick add-ons
You'll land on the LLC formation page. Confirm Delaware is highlighted under Choose Your Jurisdiction.
Then scroll to Additional Formation & Services. Toggle on anything you need:

Step 4 — Pick your entity name
Click Get Started — Delaware. Type your preferred company name. OtoCo automatically appends "LLC" — don't include it yourself. If you type "Inc" OtoCo will warn you that "Inc" implies a C-Corp, which OtoCo doesn't form.
Click Check Availability. A green check means the name is free across the Delaware Series registry.
Step 5 — Confirm and activate
Review your estimate:
Click Get Started — Delaware to pay. You can pay with card or crypto. OtoCo's smart contract then forms your Series LLC onchain.
Step 6 — Open your DashPanel
You'll be redirected to your DashPanel at https://otoco.io/account, where you'll see:
- Registered Agent —
131 Continental Drive Suite 305, Newark, New Castle, Delaware 19713 - Manager — your connected wallet address
- Entity Creation NFT — your unique Series number, e.g.
#354 - Renewal Date — exactly one year from formation
- A downloadable Delaware Certificate of Formation for your Series
You also receive a non-transferable Entity NFT in your wallet that represents ownership of the entity.
Step 7 — Add the things you actually need
From your entity's horizontal tabs:
- Workbench → ask OtoCo AI in plain English: "Order an EIN", "Apply for Mercury banking", "Renew my entity", "Add a member". See OtoCo AI — Run Your Company with AI.
- Plugins → install Safe Wallets, Mint Tokens, ENS, Add Members. See Overview of Plugins.
- Banking → apply for Mercury (Delaware Series and Standalone LLCs). See Banking & EIN.
- Finance → view transactions and add notes per address.
- Tax Center → file your U.S. Tax Filing for Foreign-Owned LLCs if applicable.
Frequently asked questions
Is this a real Delaware LLC?
Yes. Your entity is formed as a protected Series under OtoCo DE LLC, the OtoCo Master LLC registered in Delaware. Each Series is legally separate from every other Series and from the Master under the Delaware Limited Liability Company Act. You receive a Certificate of Formation specific to your Series.
Can I upgrade to a Standalone LLC later?
Yes — start a new Standalone LLC at any time and migrate your operations to it. Contact the OtoCo team if you need help.
What if I need an EIN?
Toggle Tax ID (EIN) during formation (+$189 once), or order it later from the Tax ID plugin or via Workbench. After payment, complete the Next steps form in the Tax ID plugin — expedited filing targets 2 business days once the form is submitted.
Where does my mail go?
By default, official mail goes to the OtoCo Delaware registered address. For business mail (Mercury, Stripe, vendors) add a Virtual Mailing Address ($249/yr).
