How to Form a Wyoming LLC

Form a Wyoming Series LLC for your wallet in roughly 6 seconds. Wyoming is OtoCo's most crypto-native U.S. jurisdiction β€” strong privacy, explicit digital-asset law, and DAO-friendly statutes.

Note

Pricing: $99/year, all-in. Same as Delaware, with all the same add-ons.

When to choose Wyoming

Clear DAO-specific laws, stronger privacy than Delaware, explicit digital-asset and crypto holdings protections, and an overall more crypto-friendly approach make Wyoming the place of choice for many in the blockchain community. Pick Wyoming if you're forming a:

  • DAO holding entity or DAO operating company
  • Crypto / RWA treasury that holds digital assets long-term
  • Privacy-sensitive holding company where you'd rather your name not appear on the Series filing
  • Asset-protection vehicle for high-value crypto positions

If you're doing e-commerce, holdings outside crypto, or have U.S. customers and need maximum legal familiarity, Delaware is usually the better fit.

What you'll need

  • An EVM wallet, or email login via Privy
  • Gas funds for your selected chain
  • Card or crypto for the $99 annual fee

Step 1 β€” Open the formation flow

Go to https://otoco.io/spinup.

Step 2 β€” Pick Wyoming

On the jurisdiction selector, click Wyoming Β· Protected Series Β· $99/yr β€” Asset protection, crypto-friendly.

Step 3 β€” Connect your wallet

Click Connect. OtoCo supports MetaMask, WalletConnect, Coinbase Wallet, Safe, and email login via Privy.

Step 4 β€” Confirm Wyoming and pick add-ons

Confirm Wyoming is selected under Choose Your Jurisdiction, then scroll to Additional Formation & Services.

The same four add-ons are available as for Delaware:

Add-onPrice
Standalone LLC Formation$299 / yr
Bring Your Own Entity (BYOE)$149 once (50% off year one)
Tax ID (EIN)$189 once
Virtual Mailing Address$249 / yr

πŸ‘ For DAO treasuries, Series LLC under the Master is almost always the right choice β€” instant formation, no per-entity franchise fee, and the Master LLC handles the boring Wyoming reporting for you.

Step 5 β€” Pick your entity name

Click Get Started β€” Wyoming. Type your company name. OtoCo automatically appends "LLC" β€” don't include it yourself.

Click Check Availability. A green check means it's free.

Step 6 β€” Confirm and activate

Review your estimate. Pay with card or crypto. The OtoCo Wyoming Master LLC contract forms your Series onchain.

Step 7 β€” Open your DashPanel

You'll be redirected to https://otoco.io/account with:

  • Registered Agent β€” the OtoCo Wyoming registered office
  • Manager β€” your connected wallet
  • Entity Creation NFT β€” your Series number
  • Renewal Date β€” one year from formation
  • Downloadable Wyoming Series Operating Agreement

Step 8 β€” Install the right plugins for a Wyoming entity

The plugins most teams enable on Wyoming entities:

  • Safe Wallets β€” multisig treasury (essential for DAOs)
  • Mint Tokens β€” issue governance or ownership tokens that mirror your Series Operating Agreement
  • Add Members β€” onboard co-owners with mirror tokens
  • ENS β€” claim a human-readable name for your treasury

Wyoming-specific notes

No state income tax β€” Wyoming does not levy a state income tax on LLCs.

Annual report β€” Wyoming requires an annual report. As a Series under the OtoCo Master LLC, this is handled by the Master entity, not by you.

DAO statute β€” Wyoming's DAO LLC statute (W.S. Β§ 17-31) and its digital asset law are widely regarded as the most explicit in the U.S. for tokenized governance and crypto holdings.

Frequently asked questions

Is this a real Wyoming LLC?
Yes. Your entity is formed as a protected Series under OtoCo WY LLC, the OtoCo Master LLC registered in Wyoming.

Can I use Wyoming if I'm outside the U.S.?
Yes. Many OtoCo Wyoming entities are owned by non-U.S. persons. You'll likely need an EIN ($189 add-on) and a Virtual Mailing Address ($249/yr) to open a U.S. bank account, and possibly a foreign-owned multi-member LLC tax filing depending on activity.

Does Wyoming require a public Member or Manager filing?
No β€” that's the privacy benefit. Wyoming Series LLCs do not require public disclosure of the Member or Manager. Your wallet address is the manager onchain, and there is no Member name on the public registry.
